FundFocus is a product operated by Koinz Capital Inc., a Delaware corporation (“Koinz Capital,” “FundFocus,” “we,” “us,” or “our”).
By accessing, registering for, subscribing to, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

FundFocus aggregates, organizes, processes, analyzes, estimates, classifies, and presents information obtained from multiple sources.

FundFocus shall not be responsible for any errors, omissions, inaccuracies, misrepresentations, or outdated information supplied by third parties.

A low score, negative analysis, or absence of a match does not mean that an investor will not invest.
Certain Services may use artificial intelligence, machine learning, large language models, algorithms, automated classification systems, or similar technologies (“AI Systems”).
AI Systems may generate outputs that are inaccurate, incomplete, misleading, inconsistent, outdated, or based upon incorrect assumptions.
AI-generated information may occasionally appear factual or authoritative while being incorrect.
FundFocus therefore does not guarantee the:

Users are solely responsible for independently reviewing and verifying AI-generated outputs before relying upon them.
AI-generated analyses, scores, summaries, matches, classifications, rankings, recommendations, or other outputs are informational tools only and do not constitute professional, legal, financial, investment, accounting, or tax advice.
Users may be permitted to upload, provide, or submit information, documents, pitch decks, presentations, financial information, business plans, company information, personal information, or other materials (“User Content”).
Users retain ownership of their User Content.
By submitting User Content to FundFocus, you grant Koinz Capital and FundFocus a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, organize, classify, technically transform, and use such User Content to the extent reasonably necessary to:
This license does not transfer ownership of the underlying intellectual property contained in User Content.
You represent and warrant that:
You remain solely responsible for User Content submitted through your account.
Where FundFocus uses automated or AI-assisted systems to analyze User Content, such processing may involve technical service providers necessary to operate the applicable functionality.
FundFocus will process User Content in accordance with its Privacy Policy and applicable contractual commitments.
Unless otherwise expressly disclosed or agreed, the submission of User Content does not authorize any third party to independently commercialize such content.
Users should not submit information that they do not have authority to disclose.
FundFocus may implement administrative, technical, physical, and organizational measures designed to protect its systems and User Content.
However, no electronic transmission, cloud service, database, cybersecurity system, telecommunications network, or storage technology can be guaranteed to be completely secure.
Accordingly, FundFocus does not guarantee absolute protection against:

Except as expressly permitted under these Terms or a separate written agreement, users may not:

No rights are granted except those expressly stated in these Terms.

FundFocus and Koinz Capital shall not be responsible for:

To the maximum extent permitted by law, FundFocus and Koinz Capital shall not be responsible or liable for any unauthorized, unlawful, deceptive, improper, abusive, misleading, harmful, or otherwise inappropriate use of information by any user or third party.
Any person engaging in such conduct remains solely responsible for their actions.
FundFocus reserves the right to investigate suspected misuse and to suspend, restrict, terminate, or permanently prohibit access by users reasonably suspected of violating these Terms.
FundFocus may also cooperate with lawful requests from regulators, courts, law enforcement authorities, or other competent authorities where required by law.
FundFocus may make available professional or business contact information obtained from legitimate sources.
The availability of contact information does not constitute:

FUNDFOCUS AND KOINZ CAPITAL DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF:
FUNDFOCUS DOES NOT WARRANT THAT:
You acknowledge that venture capital, private markets, fundraising, investing, entrepreneurship, and business decisions involve significant uncertainty and risk.
Information obtained through FundFocus may be incomplete, inaccurate, delayed, estimated, or subject to interpretation.
You voluntarily assume the risks associated with relying on or using information obtained through the Services.
Users are responsible for conducting independent due diligence before making material decisions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FUNDFOCUS, KOINZ CAPITAL INC., THEIR AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AGENTS, LICENSORS, SERVICE PROVIDERS, AND DATA PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
THIS INCLUDES, WITHOUT LIMITATION:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF FUNDFOCUS AND KOINZ CAPITAL ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
(A) US$100; OR
(B) THE TOTAL AMOUNT ACTUALLY PAID BY THE APPLICABLE USER TO FUNDFOCUS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory upon which liability is asserted, including contract, tort, negligence, strict liability, statute, or otherwise.
Where applicable law does not permit a particular limitation, such limitation shall apply only to the maximum extent permitted by law.
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless FundFocus, Koinz Capital Inc., their affiliates, shareholders, directors, officers, employees, contractors, representatives, agents, licensors, service providers, and data providers from and against claims, demands, proceedings, investigations, liabilities, damages, judgments, losses, fines, penalties, costs, and reasonable attorneys’ fees arising out of or relating to:

Individuals, companies, investment funds, and other entities may contact FundFocus to report information they reasonably believe is inaccurate, incomplete, outdated, or improperly attributed.
FundFocus may review such requests but does not guarantee that:
FundFocus reserves reasonable discretion regarding the organization, presentation, sourcing, classification, and display of information within the Services, subject to applicable law.
FundFocus’s collection, use, processing, and disclosure of personal information are governed by the FundFocus Privacy Policy.
Users remain independently responsible for complying with laws applicable to their own collection, processing, storage, use, export, communication, or redistribution of information obtained through the Services.
Where required, users must independently establish an appropriate lawful basis before contacting, profiling, marketing to, or otherwise processing information relating to another person.
FundFocus respects intellectual property rights.
A person who reasonably believes that material available through the Services infringes copyright, trademark, or another intellectual property right may submit a notice through the contact information provided by FundFocus.
FundFocus may investigate and, where appropriate, remove, restrict, or disable access to allegedly infringing material.
FundFocus may modify, update, improve, replace, restrict, suspend, or discontinue any portion of the Services.

These Terms and any dispute, claim, or controversy arising out of or relating to the Services or these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms or the Services.
Except where prohibited by applicable law, any dispute, claim, or controversy that cannot be resolved informally shall be resolved by binding arbitration on an individual basis in accordance with the applicable rules of the American Arbitration Association (“AAA”).
Arbitration shall be conducted in English.
Unless otherwise required by applicable law or agreed by the parties, the legal seat of arbitration shall be the State of Delaware, United States.
The arbitrator shall have authority to award any remedy that would otherwise be available in a court of competent jurisdiction, subject to the limitations contained in these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND FUNDFOCUS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS:
The arbitrator may not consolidate claims of multiple parties unless all affected parties expressly agree.
Nothing in this Section prevents FundFocus or Koinz Capital from seeking temporary, preliminary, or permanent injunctive or equitable relief from a court of competent jurisdiction to:

Users are responsible for determining whether access to and use of the Services is permitted under laws applicable to them.
The availability of FundFocus in any jurisdiction does not constitute a representation that:
Users may not access or use the Services in violation of applicable United States export controls, sanctions, trade restrictions, embargoes, or similar laws.
Users represent that their use of the Services is not prohibited under applicable sanctions or export-control laws.
Nothing in these Terms creates any:

If any provision of these Terms is held to be unlawful, invalid, or unenforceable, such provision shall be enforced to the maximum extent permitted by law.
The remaining provisions shall remain in full force and effect.
Failure by FundFocus or Koinz Capital to exercise or enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Users may not assign or transfer their rights or obligations under these Terms without prior written consent from Koinz Capital.
Koinz Capital may assign or transfer these Terms, in whole or in part, in connection with:
